If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Eligibility
To use our Services, you must:

- Have the legal capacity to enter into a binding agreement

- Provide accurate and complete registration information
Your Account
You are responsible for maintaining the security of your account and all activities that occur under it.
- You must keep your login credentials confidential and not share them with others
- You must notify us immediately of any unauthorized access or security breach
- We reserve the right to suspend or terminate accounts that violate these Terms
- You are responsible for all content uploaded and actions taken through your account
Use of Services
Mind-e provides an AI-powered platform that allows you to build, train, customize, and deploy intelligent agents. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services.
You may use the Services to:
- Upload documents, websites, and text to build knowledge bases for your AI agents
- Configure, customize, and deploy AI agents across supported channels
- Create conversation flows, forms, actions, and integrations
- Access analytics, chat history, and performance data for your agents
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use the Services in any way that:
- Violates any applicable local, national, or international law or regulation
- Infringes on the intellectual property, privacy, or other rights of any third party
- Distributes malware, spam, or any harmful or deceptive content
- Attempts to gain unauthorized access to our systems, other users' accounts, or any connected networks
- Generates, promotes, or facilitates content related to violence, harassment, hate speech, or illegal activities
- Impersonates any person or entity, or misrepresents your affiliation
- Overloads, disrupts, or interferes with the proper functioning of the Services
- Resells, sublicenses, or provides access to the Services to third parties without our written consent
Content & Intellectual Property
Your content remains yours. We do not claim ownership over any data, documents, or materials you upload to Mind-e.
Your Content
- You retain all ownership rights to the content you upload
- You grant us a limited license to process, store, and index your content solely to provide the Services
- You are responsible for ensuring you have the right to upload and use all content
- Your content is never used to train, fine-tune, or improve any AI model
Our Intellectual Property
- The Mind-e platform, branding, design, code, and all related materials are owned by us and protected by intellectual property laws
- You may not copy, modify, distribute, or reverse-engineer any part of our platform
- Our name, logo, and trademarks may not be used without prior written permission
Payments & Subscriptions
Certain features of our Services require a paid subscription. By subscribing to a paid plan, you agree to the following:
- Subscription fees are billed in advance on a recurring basis (monthly or annually) based on your selected plan
- All fees are non-refundable except where required by applicable law or as stated in our refund policy
- We reserve the right to change pricing with at least 30 days' notice before the next billing cycle
- If payment fails, we may suspend access to paid features until the balance is resolved
- You can upgrade, downgrade, or cancel your subscription at any time from your dashboard
- Cancellation takes effect at the end of the current billing period — no pro-rated refunds are issued for partial periods
Third-Party Services
Our Services may integrate with or rely on third-party services, including AI model providers (such as OpenAI, Anthropic, and Google), messaging platforms, and payment processors.
- Your use of third-party services is subject to their own terms and privacy policies
- We are not responsible for the availability, accuracy, or content of third-party services
- We do not guarantee uninterrupted access to third-party integrations
- Data shared with third-party AI providers is limited to what is necessary to process your agent queries
Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will be uninterrupted, error-free, or completely secure
- AI-generated responses will be accurate, complete, or appropriate for your use case
- The Services will meet all of your specific requirements
- Any defects or errors will be corrected within a specific timeframe
Limitation of Liability
To the maximum extent permitted by applicable law, Mind-e and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.
Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Termination
Either party may terminate these Terms at any time.
- You may close your account at any time from your dashboard or by contacting support
- We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or our platform
- Upon termination, your right to use the Services ceases immediately
- We will retain your data for 30 days after termination to allow for export, after which it will be permanently deleted
- Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will remain in effect
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mind-e operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the appropriate courts of that jurisdiction.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Services.
